Sam Altman May Receive 7% Stake as OpenAI Explores Shift to For-Profit Public Benefit Corporation

OpenAI is considering giving CEO Sam Altman a 7% equity stake while transitioning to a for-profit public benefit corporation. This change would mark a significant shift in the company’s mission, balancing profitability with societal benefit. The decision comes as the company experiences internal restructuring and rising costs to develop cutting-edge AI models.

According to individuals familiar with the situation, OpenAI is debating granting Chief Executive Officer Sam Altman a 7% equity position in the company and restructuring to become a for-profit enterprise. This would be a significant change and the first time Altman is given ownership in an artificial intelligence startup.

The people, who wished to remain anonymous due to the confidentiality of the information, stated that the company is thinking about becoming a public benefit corporation, which would have the dual mandate of making a profit and assisting society.

According to one of the individuals, the shift is still being discussed and a timeframe is not yet set.

OpenAI is considering the modifications in light of the departure of senior managers. In an unexpected announcement on Wednesday, Chief Technology Officer Mira Murati announced her departure, becoming the most well-known employee to leave the firm. OpenAI lost several managers and reorganized some of its teams in the months following Altman’s abrupt termination and subsequent rehire last year.

Founded in 2015, OpenAI is a nonprofit research group dedicated to creating safe and useful artificial intelligence for humanity. In keeping with those beginnings, Altman had stressed that he had enough money and that the company was intended to serve society generally by not taking equity.

But it has become harder and harder to adhere to those principles as the company’s value has skyrocketed. To assist with the enormous expenses of developing AI models, the business established a for-profit subsidiary in 2019. Since then, Microsoft Corp. and other investors have contributed billions of dollars to the venture.

According to a Bloomberg story this month, OpenAI is attempting to raise $6.5 billion at a $150 billion valuation, making it one of the most valuable firms globally. According to the Bloomberg Billionaires Index, that increase in addition to the potential additional equity could raise Altman’s net worth by more than $10 billion, catapulting him into the top 1% of global wealth.

“The nonprofit is core to our mission and will continue to exist,” an OpenAI representative said in a statement, adding that the company is still “focused on building AI that benefits everyone.”

With the potential equity holding currently negotiated and may or may not materialize, Altman would have a continuing financial interest in OpenAI’s success. It is a popular belief among investors that founders should hold a portion of the companies they operate. In interviews, Altman has also stated on occasion that he wishes he had accepted equity in order to put an end to people’s questions on it. OpenAI’s intention to restructure and grant Altman stock was first reported by Reuters.
