LinkedIn India, Satya Nadella, and other individuals have been fined for violating beneficial ownership norms. This regulatory breach highlights the importance of compliance in corporate governance.

The reputed Registrar of Companies (RoC) informed that LinkedIn India and several other individuals have been violating the SBO disclosed requirements mentioned in section 90 of the Act.
These fines have led to speculation in the industry about what will unfold in the near future.
The RoC issued a 63-page order stating that LinkedIn India, the networking platform child of the tech giant Microsoft, its CEO Satya Nadella along with 8 other distinguished individuals have ridiculed the guidelines mentioned in section 90 of the SBO disclosure.
This section mandates the firms to investigate, identify, and share details of their significant owners, particularly the individuals who have direct control over the company’s resources and are passionate about its growth.

When the RoC conducted a thorough investigation it found out that Satya Nadella and Ryan Roslansky, Global CEOs of Microsoft and LinkedIn India respectively were considered SBOs of LinkedIn India. However, they have defaulted in reporting their ownership.
The RoC imposed fines of 7 lakhs on LinkedIn India while Nadella and Roslansky were fined 2-2 lakh each. Additional fines were levied upon seven other distinguished individuals linked with the company namely Keith Ranger Dolliver, Benjamin Owen Orndorff, Michelle Katty Leung, Lisa Emiko Sato, Ashutosh Gupta, Mark Leonard Nadres Legaspi, and Henry Chining Fong.
The RoC’s order reiterated that the company had failed to notify the SBOs as per the rules of the companies in 2018 resulting in a further violation.
LinkedIn was established as a subsidiary of the Microsoft group after it was acquired by Microsoft Corporation in December 2016. Since then it has evolved as a networking giant globally. This is a huge blow to the reputation of such a credible and accountable firm. The order provides for an appeal to the Regional Director within 60 days from the date of receipt. The CEOs are yet to comment on the matter and it has been complete silence all the way till now.
